These Terms of Service ("Terms") govern your use of nxtseed.com and its content and demo (the "Site"), operated by NxtSeed, a product of TechFides ("NxtSeed," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. The Site and the demo

The Site presents information about NxtSeed and includes an interactive demo. The demo uses sample data for illustration only; it does not reflect any real organization's results and is not a guarantee of outcomes.

2. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to the Site or its systems, or disrupt its operation.
• Scrape, copy, or republish Site content except as allowed by law or with our permission.
• Misrepresent your identity or affiliation.

Good-faith security research is welcome under our Security Policy.

3. Intellectual property

The Site, its content, design, and the NxtSeed and TechFides names and logos are owned by NxtSeed and TechFides and are protected by intellectual-property laws. All rights reserved. You may not use our marks without prior written permission. The "Powered by TechFides" attribution may not be removed from any deployed NxtSeed product.

4. Confidential information

If either party shares non-public business information in connection with a demo, proposal, or discussion, the receiving party will keep it confidential and use it only for evaluating or providing the services. Formal engagements are governed by a separate written agreement.

5. No professional advice

Content on the Site is provided for general information and does not constitute legal, financial, or professional advice.

6. Disclaimers

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

7. Limitation of liability

To the fullest extent permitted by law, NxtSeed and TechFides will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Site.

8. Indemnification

You agree to indemnify and hold harmless NxtSeed and TechFides from claims arising out of your misuse of the Site or violation of these Terms.

9. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Texas.

10. Changes

We may update these Terms from time to time. Continued use of the Site after changes take effect means you accept the updated Terms.
